Terms of Service

These Terms of Service (the “Terms”) form a legal agreement between you and Care Panda governing your access to and use of the Care Panda website, applications and services (collectively, the “Platform”).
By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
These Terms govern your general use of the Platform. The commercial and payment policies that apply to bookings — including fees, cancellation and refund rules, escrow, withdrawals, Credit Coins and Panda Pats — are set out in the separate General Service Agreement, which is incorporated by reference. Where the two documents conflict on a commercial matter, the General Service Agreement prevails.
1. Acceptance of Terms
- Care Panda operates an online marketplace that connects Clients with independent Care Partners (caregivers and private duty nurses) in the Philippines.
- Care Panda is a technology platform only. It does not employ Care Partners, does not itself provide medical, nursing or personal care services, and is not a healthcare provider or employment agency.
- Care services are delivered solely by Care Partners under an arrangement between the Client and the Care Partner facilitated by the Platform.
2. Eligibility and Accounts
- You must be at least 18 years old and capable of forming a binding contract to use the Platform.
- You must provide accurate, current and complete registration information and keep it up to date.
- Your email address is the primary identifier of your account. Accounts are personal, non-transferable and may not be shared or sold.
- You are responsible for safeguarding your password and for all activity under your account. Notify us immediately of any unauthorised use.
- You may reset a forgotten password through the Platform’s password-recovery flow. Strong password requirements apply.
- We may suspend or terminate accounts that breach these Terms, engage in fraud, raise safety concerns, or violate applicable law.
3. Roles
The Platform supports distinct account roles. A single account may hold more than one role where authorised:
- Client — books care services and manages bookings, payments, reviews and Credit Coins.
- Care Partner — an independent caregiver or nurse who offers services, manages availability, accepts bookings and withdraws earnings.
- Administrator — manages platform operations, verification, disputes, payouts and settings. Administrator access is granted only by Care Panda, and superadmin privileges are reserved.
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of applicable Philippine law, including the Data Privacy Act of 2012.
- Misrepresent your identity, credentials, licences or qualifications.
- Circumvent the Platform by soliciting or completing off-platform engagements with users you met through the Platform.
- Harass, abuse, discriminate against, or endanger any user, or post false, defamatory or misleading content or reviews.
- Interfere with the Platform’s operation, probe its security, scrape data, or introduce malware.
- Use another person’s account or payment method without authorisation.
5. Bookings and Commercial Terms
- Bookings, payments, fees, cancellations, refunds, escrow, withdrawals, Credit Coins and Panda Pats are governed by the General Service Agreement available on the Platform.
- A booking is created only after successful payment authorisation. Declined or insufficient-funds payment methods result in no booking.
- Cancellation refunds follow the 24-hour window policy in the General Service Agreement (full card refund beyond 24 hours; 20% cancellation fee and Credit Coin refund within 24 hours).
- Current versions of all applicable legal documents are published on the Platform, and material updates may require your renewed agreement.
6. Reviews and Content
- Clients may leave reviews, ratings and voluntary Panda Pats for Care Partners after completed bookings.
- You retain ownership of content you submit but grant Care Panda a non-exclusive, royalty-free licence to display and use it in connection with operating and promoting the Platform.
- Reviews must be honest and based on genuine experience. We may remove content that breaches these Terms.
7. Privacy and Data
- Our collection and use of personal data is described in the Privacy Policy available on the Platform.
- We process personal data in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173) and its implementing rules.
- Health and care-related information shared through the Platform is treated as sensitive personal information and handled with appropriate safeguards.
8. Intellectual property
- The Platform, including its software, design, branding, logos and content (other than user content), is owned by or licensed to Care Panda and protected by intellectual-property laws.
- You are granted a limited, non-exclusive, revocable licence to access and use the Platform for its intended purpose. No other rights are granted.
9. Disclaimers
- The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied.
- Care Panda does not guarantee the availability, conduct, quality or suitability of any Care Partner, and does not warrant any outcome of care services arranged through the Platform.
- Care Panda performs reasonable verification and onboarding checks but does not warrant that checks identify all risks. Users exercise their own judgement when engaging.
10. Limitation of Liability
- To the maximum extent permitted by law, Care Panda is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from or related to your use of the Platform.
- Care Panda’s aggregate liability arising out of or relating to these Terms shall not exceed the total platform fees you paid to Care Panda in the three (3) months preceding the event giving rise to the claim.
- Nothing in these Terms excludes liability that cannot be excluded under applicable law, including for gross negligence or wilful misconduct.
11. Beta Service
- The Platform is currently offered as a beta release. Features, pricing and policies may change as we improve the service.
You may encounter interruptions or defects during the beta period. We appreciate feedback and will use reasonable efforts to address issues promptly
12. Disputes
- Disputes between Clients and Care Partners concerning bookings should first be raised through the Platform’s support-ticket and dispute process so Care Panda can assist with resolution.
- Any dispute with Care Panda arising from these Terms shall be resolved amicably where possible, failing which it shall be submitted to the exclusive jurisdiction of the competent courts of the Philippines.
13. Changes to These Terms
- We may update these Terms from time to time. Material changes will be notified through the Platform or by email, and continued use after the effective date constitutes acceptance.
- The version number and effective date at the top of this document identify the current Terms.
14. Termination
- You may close your account at any time by contacting support. Outstanding bookings, escrow amounts, refunds and withdrawal balances will be settled in accordance with the General Service Agreement before closure.
- We may terminate or suspend access immediately for breach of these Terms, fraud, or risk to other users.
